Friedrich Matz was the son of Carl Johann Gottlieb Matz (1810-1892), a doctor in Lübeck. His mother was Mathilde Friederike Sophie (1821-1905), born Krüger. He studied classical archaeology in Bonn where Otto Jahn was one of his teachers. From 1867 to 1870 he travelled to Italy and Greece where he mostly studied ancient sarcophagi. From 1870, he continued work on the project "Die antiken Sarkophagreliefs" for the Deutsches Archäologischen Institut.

In 1870 he was habilitated in Göttingen. He became an extraordinary professor in Halle an der Saale in 1873 and a full professor in Berlin in the spring of 1874. He died in the same year in Berlin. The archaeologist Friedrich Matz (1890-1974) was his nephew.
